5. AI Services and Limitations

AI-Powered Assessments

Our platform uses artificial intelligence to analyze candidate performance and provide hiring insights. While our AI systems are designed to be accurate and fair, they are tools to assist in decision-making and should not be the sole basis for employment decisions. You acknowledge that AI systems have limitations and may produce errors or unexpected results.

Human Oversight Required

You agree to maintain meaningful human oversight in all hiring decisions. AI-generated recommendations must be reviewed by qualified personnel before making final employment decisions. You are solely responsible for all hiring decisions made using our Services.

Bias Mitigation and Compliance

While we implement bias mitigation measures and conduct regular fairness testing, you acknowledge that no AI system is completely free from bias. You are fully responsible for ensuring your hiring practices comply with all applicable anti-discrimination laws, equal employment opportunity regulations, and local hiring laws in your jurisdiction.

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to such processing and you warrant that all data provided by you is accurate.

Data Ownership

Data Security

Assessment Content

Our assessment questions, methodologies, and evaluation criteria are proprietary. You may not reproduce, distribute, or create derivative works based on this content without express written permission.

8. Subscription and Payment Terms

Subscription Plans

We offer various subscription plans with different features and usage limits. Plan details and pricing are available on our website and may be updated from time to time.

Payment

Subscription fees are billed in advance on a monthly or annual basis. All payments are non-refundable except as expressly provided in these Terms or required by law.

Changes to Pricing

We may modify our pricing at any time. We will provide notice of pricing changes and you will have the opportunity to cancel your subscription before the new pricing takes effect.

9. Termination

Termination by You

You may cancel your subscription at any time. Cancellation will be effective at the end of your current billing period.

Termination by Us

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users of the Services, us, or third parties, or for any other reason.

Effect of Termination

10. Disclaimers and Warranties

Service "As Is" Provision

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Service Availability

We strive to maintain high service availability but cannot guarantee uninterrupted access. We may experience downtime for maintenance, updates, or unforeseen circumstances. We do not warrant that the Services will be error-free or continuously available.

AI Accuracy and Reliability

While we continuously improve our AI systems, we make no warranties regarding the accuracy, completeness, reliability, or suitability of AI-generated assessments or recommendations for any particular purpose. AI results should not be relied upon as the sole basis for employment decisions.

Third-Party Integration

Our Services may integrate with third-party platforms. We are not responsible for the availability, accuracy, content, or privacy practices of such third-party services and disclaim all liability related to third-party integrations.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall SamurAI, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Services.

Our total liability to you for all damages, losses, and causes of action (whether in contract, tort including negligence, or otherwise) shall not exceed the amount paid by you, if any, for accessing the Services during the twelve (12) months immediately preceding the date of the claim.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you. In such cases, our liability shall be limited to the fullest extent permitted by law.

You agree to defend, indemnify, and hold harmless SamurAI and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

These Terms shall be interpreted and governed by the laws of Japan, without regard to conflict of law provisions. For any disputes arising from these Terms or your use of our Services, the parties agree to the jurisdiction of the competent courts in Japan.

14. Dispute Resolution

Informal Resolution

Before pursuing formal dispute resolution, we encourage you to contact us directly at contact@samur-ai.tech to seek a resolution within 30 days of the dispute arising.

Formal Dispute Resolution

Any disputes that cannot be resolved informally will be handled through the competent courts in Japan in accordance with Japanese law. Both parties agree to submit to the exclusive jurisdiction of the Japanese court system for resolution of any legal disputes arising from these Terms or your use of our Services.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
